Use of the Services

You may use the Services only in compliance with these Terms and all applicable laws. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least 18 years old and have the authority to bind the organisation you represent.

Your data

You retain ownership of the data you submit to the Services. You grant us the limited rights necessary to host, process, and display that data solely to provide, secure, and improve the Services. Our handling of personal data is described in our Privacy Policy. Business data entered by an organisation belongs to that organisation.

Acceptable use

You agree not to misuse the Services, including by attempting to disrupt them, access them without authorisation, reverse-engineer them, use them for unlawful purposes, or overload the infrastructure.

Subscriptions, billing and cancellation

Access to paid features of the Services is provided on a subscription basis. Pricing, billing cycles, upgrades, downgrades, cancellation, and refunds are governed by our separate Subscription, Billing & Cancellation Policy. That policy forms part of these Terms.

Availability and changes

We work to keep the Services available and reliable, but we may modify, suspend, or discontinue features from time to time. We will make reasonable efforts to provide notice of material changes that adversely affect existing customers.

Termination

You may stop using the Services and cancel your subscription at any time in accordance with the Subscription, Billing & Cancellation Policy.

We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees when due, or if continued use would expose us to legal risk. We may also terminate for convenience with reasonable notice. Upon termination we will handle data according to our Privacy Policy and Account & Data Deletion page.

Disclaimers

The Services are provided "as is" without warranties of any kind, to the extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or that they will meet every specific business requirement.

Limitation of liability

To the maximum extent permitted by law:

• Kivotech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Services.
• Our total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the fees you paid to us for the Services in the twelve (12) months preceding the claim.

Indemnity

You agree to indemnify and hold Kivotech harmless from any claims, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party rights.

Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts located in Thrissur, Kerala, India shall have exclusive jurisdiction.

Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page with a revised "Last updated" date. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
